Update of proposals ahead of annual general meeting 2024

In accordance with the notice of the annual general meeting 2024 published by Irisity AB (publ) (”Irisity”) on 26 April 2024, the nomination committee reserved the right to, up to and including the day of the annual general meeting 2024 and subject to the completion of the Ultinous acquisition, submit additional proposals under items 9 and 10 on the agenda regarding the number of members of the board of directors and election of members of the board of directors.

Considering the completion of the acquisition of Ultinous that Irisity announced earlier today, the board of directors of Irisity has received additional proposals from the nomination committee ahead of the annual general meeting on 30 May 2024.

The following proposals shall be supplemented in relation to what is stated in the notice of the annual general meeting 2024.

Item 9 – Determination of the number of members of the board of directors, deputies, auditors, and deputy auditors

Original proposal:

The nomination committee proposes that the board of directors shall consist of five (5) ordinary members without deputies.

New proposal:

The nomination committee proposes that the board of directors shall consist of seven (7) ordinary members without deputies.

Item 10 – Election of members of the board of directors

Original proposal:

The nomination committee proposes re-election of Ulf Runmarker, Christian Andersson, Dorian Barak and Anders Trygg and new election of Bjørn Skou Eilertsen as members of the board of directors. All elections for the period until the end of the next annual general meeting.

New proposal:

The nomination committee proposes re-election of Ulf Runmarker, Christian Andersson, Dorian Barak and Anders Trygg and new election of Bjørn Skou Eilertsen, Lucas de Mendoza and InnaKaushan as members of the board of directors. All elections for the period until the end of the next annual general meeting.

Information regarding Lucas de Mendoza and Inna Kaushan

Lucas de Mendoza, born 1976, brings over two decades of experience in corporate finance, strategic advisory, and executive management within the tech industry, making him a valuable addition to our Board. He has worked in both multinational and startup environments. Currently, Lucas serves as Managing Partner of an independent M&A advisory firm while also holding several NED roles in international tech companies. For the past four years, he has served on the Board of Ultinous, with the last 14 months as Chairman. Lucas began his career with a five-year tenure at PwC after earning his degree in Business Administration from the University of Barcelona. Alongside his business activities, Lucas shares his expertise by teaching undergraduate classes in economy.

Inna Kaushan, born 1983, is a partner in Stockhorn Capital AB and focuses on investments in technology businesses. She plays an active role in the boards of the companies where StockhornCapital AB invests. Her professional background includes investment banking and corporate finance for M&A, KPMG, and Erste Group Austria. Inna holds a master’s degree in international finance and a PhD in Economics. She is based in London and was serving on Ultinous board for eight years.
